Restrictive Covenant Violation. The term “Restrictive Covenant Violation” shall mean Executive’s material breach of any provision of Appendix A hereto, or of any agreement with the Company or its Subsidiaries (whether currently in existence or arising in the future from time to time) containing covenants regarding non-competition, non-solicitation, non-disparagement and/or non-disclosure obligations (collectively, “Restrictive Covenants”).
