Common use of Restrictive Covenants by Providers Clause in Contracts

Restrictive Covenants by Providers. Group shall use its best efforts to obtain and enforce formal agreements with its Employee Providers and Subcontract Providers who are dentists not to establish, operate or provide dental care services, during the term of this Agreement and for a period of two (2) years after any termination of employment with Group (except a termination of such employment (i) based upon a material breach by Manager which shall remain uncured for a period of sixty (60) days after receipt of notice in accordance with Section 11.4 hereof, (ii) by reason of nonpayment of a material amount owed by Manager to or to be paid by Manager on behalf of Group, or (iii) by Group without cause), at any dental office, clinic or facility located within 30 miles of any Practice Site at which the Employee Provider or Subcontract Provider has practiced. Any variation of such restrictive covenants shall be approved in advance in writing by Manager.
