RESTRICTIVE LEGEND; NOTATION ON STOCK BOOKS. Each certificate representing (i) the Restricted Securities; or, (ii) any other securities issued in respect to the Restricted Securities or issued upon conversion of the Restricted Securities upon any stock split, stock dividend, recapitalization, merger, consolidation or similar event, shall (unless otherwise permitted by the provisions of Paragraph 7.3.) be stamped or otherwise imprinted with legends substantially in the form set forth in Section 10. hereof. In addition, the COMPANY shall make a notation regarding the restrictions on transfer of the Restricted Securities, and any Restricted Securities shall be transferred on the books of the COMPANY only if transferred or sold pursuant to an effective registration statement under the ACT covering such securities or pursuant to and in compliance with Paragraph 7.3.
