Restrictive Securities Legend. The certificate representing the shares of Class A Common Stock issued upon the exercise of the Warrant shall bear the restrictive legends set forth below: “The shares represented by this certificate have not been registered under the Securities Act of 1933, or the securities laws of any State and may not be sold or otherwise disposed of except pursuant to an effective registration statement under such Act and applicable State securities laws or pursuant to an applicable exemption from the registration requirements of such Act and such laws.” “The shares represented by this certificate are subject to the terms and conditions, including certain transfer restrictions, of that certain Shareholders Agreement, dated September 17, 1999, among the Company and certain of the Company’s shareholders. A copy of such agreement may be obtained at no cost by written request to the Company made by the holder of this certificate.”
