Common use of Retailer in breach Clause in Contracts

Retailer in breach. If the Retailer fails to comply with any of its obligations under this schedule, or a Representation Letter provided in accordance with clause S6.7 indicates that the Retailer is in material breach of any of its obligations under this schedule and the Retailer has failed to remedy that breach then clauses 12 and 13 will apply, provided that the Distributor may terminate the Billing Services only rather than the whole agreement.
