Retained Records. 4.5.1 Validator shall retain all test and inspection records for seven (7) years.
4.5.2 Participant shall retain all records relative to the XXXXX program for seven
Retained Records. 4.4.1 Participant must retain a complete bill of materials for the sample and piece part drawings of the complete model for all tested samples.
4.4.2 Other records that must be retained for approval are field/product complaints regarding compliance that require corrective action and action taken, test procedures, test results, engineering change orders and other documents as necessary to substantiate certification.
4.4.3 This information must be retained on file at Participant’s facility for seven (7) years, and shall be made available to the Validator.
Retained Records. (a) The Retained Records shall be retained by the current holder of the Retained Records and held for the Retention Period, unless the holding Party reasonably considers such period to be burdensome, in which case the holding Party may elect to transfer the relevant Retained Records to the other Party (if permitted under Applicable Law) and the Parties shall discuss in good faith the most practical means of affecting any transfer on this basis.
(b) The Retained Records do not need to be held by the Parties in their current form, and the holding Party shall, at its discretion, have the option to decommission and archive any Retained Records.
(c) The holder of the Retained Records shall be entitled (but shall not be obliged) to delete and/or destroy any Retained Records after the expiry of the Retention Period, at the holding Party’s cost, provided that the other Party has not provided written notice (in accordance with paragraph (d) below) that it wishes the Retained Records to be retained for a longer period of time, in which case such Retained Records shall be deemed to be Waived Books and Records.
(d) If either Party wishes the Retained Records to be retained for a longer period than the Retention Period:
(i) it shall, at least three (3) months prior to the expiration of the applicable Retention Period, provide notice identifying which Retained Records should be retained and the relevant additional Retention Period requested; and
(ii) the holding Party may either:
(A) retain the Retained Records for the additional period at the requesting Party’s cost; or
(B) transfer the Retained Records to the requesting Party at the requesting Party’s cost (if such transfer is permitted under Applicable Law).
(e) Each Party shall be entitled to request access to the Retained Records held by the other Party (or its Group) in accordance with the terms of the Information Access Agreement and for the period specified in the Information Access Agreement.
Retained Records. Subject to any specific provisions on costs in any Ancillary Agreement:
(i) the cost of retaining and storing of:
(A) any Alcon Retained Records held by Novartis shall be borne by Novartis; and
(B) any Novartis Retained Records held by Alcon shall be borne by Alcon;
(ii) the cost of providing access to:
(A) any Alcon Retained Records held by Novartis shall be borne by Alcon, in accordance with the Information Access Agreement; and
(B) any Novartis Retained Records held by Alcon shall be borne by Novartis, in accordance with the Information Access Agreement.
Retained Records. All books, records and other data that relate to the Retained Assets or the Retained Liabilities and all books, records and other data that Sellers are required by Law to retain.
Retained Records. (a) From the Effective Time until 5.00 p.m. on the day falling 7 years from the Effective Date, GVC shall procure that the Retained Records are maintained and preserved, and shall allow Xxxxxxx Xxxx and its Representatives to inspect (and at Xxxxxxx Xxxx'x expense to take copies of) the Retained Records to the extent that they relate to the Regulated Businesses and the Properties at reasonable times on reasonable notice.
(b) If at any time GVC desires to cease to maintain and preserve the Retained Records, it shall notify Xxxxxxx Xxxx in writing and afford Xxxxxxx Xxxx a reasonable opportunity to take over such Retained Records and either to maintain and preserve them for Xxxxxxx Xxxx'x own use or (at the option of WH Bidco) to destroy them.
Retained Records. All minute books, stock transfer ledgers, and corporate seals of the Sellers and all payroll, personnel and employment records for all current or former employees of the Sellers to the extent that their transfer is prohibited by applicable Law; provided, however, that the Purchasers will be provided with reasonable access to such retained records and documents;
Retained Records. Seller may retain copies of all books, records and other written materials included in the Acquired Assets and any other books, records and written materials included in any electronic data room or that are otherwise in the possession or under the control of Seller relating to the Acquired Assets or the Assumed Liabilities.
Retained Records. Any other books and records related to the Business that Seller is required by law to retain (the "Retained Records", and together with the Corporate Records and the Personnel Records, the "Excluded Records"); provided, however, that, except to the extent prohibited under any applicable law, Seller shall provide Buyer with access to the Excluded Records for the purpose of allowing Buyer to make copies. The assets, property and business of Seller to be sold to and purchased by Buyer under Section 1.1(a) are hereinafter sometimes referred to as the "Subject Assets", and the assets, property and business of Seller which are excluded from the Subject Assets under this Section 1.1(b) are hereinafter sometimes referred to as the "Excluded Assets".
Retained Records. See Section 12.10(a).
