Warranty of Authority. Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party.

Each Party warrants to the other Party that it has the power, authority and legal right to enter into, sign and perform in terms of this Contract, and that this Contract has been duly authorised by all necessary actions of its directors or person/s on whose behalf the signatory acts herein.

The Fund and the Service Provider warrant to each other that their respective signatories and representatives have the power, authority and legal right to conclude and sign this Agreement and perform in terms of this Agreement, and that this Agreement has been duly authorised by all necessary actions of their respective governing organs and management, as the case may be, and constitutes valid and binding obligations on them in accordance with the provisions of this Agreement.
Warranty of Authority. Each person executing this agreement on behalf of a party represents and warrants that (1) such person is duly and validly authorized to do so on behalf of the entity it purports to so bind, and (2) if such party is a partnership, corporation or trustee, that such partnership, corporation or trustee has full right and authority to enter into this Lease and perform all of its obligations hereunder.
Warranty of Authority. Each Party represents and warrants to the other that it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization, and has the requisite power and authority to execute, deliver and perform its obligations under the Agreement. Each Party represents and warrants to the other that the Agreement has been duly authorized, executed and delivered by such Party and constitutes a valid and binding obligations of such Party enforceable against such party according to its terms.
Warranty of Authority. The officials executing this Agreement on behalf of the CITY and on behalf of the UNION hereby warrant and guarantee that they have the authority to act for, bind and collectively bargain on behalf of the organizations they represent during the term of this Agreement.
