Common use of Retention of BISYS Clause in Contracts

Retention of BISYS. The Trust hereby retains BISYS to act as transfer agent, fund accountant and administrator of the Trust, and to furnish the Trust with administrative, fund accounting and transfer agent services set forth in Sections 2(a) through (c) below. BISYS and the Trust hereby agree that BISYS will perform the services upon the terms set forth in this Agreement. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless otherwise expressly provided or authorized, shall have no authority to act for or represent the Trust or Fund in any way, and shall not be deemed an agent of the Trust or any Funds.

BISYS and the Trust hereby agree that BISYS will perform the services upon the terms set forth in this Agreement and the Schedules to this Agreement. BISYS shall, for all purposes herein, be deemed to be an independent contractor and, unless except as otherwise expressly provided or authorized, shall have no authority to act for or represent the Trust or Fund Funds in any way, and shall not be deemed an agent of the Trust or any Funds.
