Retention Payment Date Sample Clauses

Retention Payment Date. The Retention Balance shall be released to the Sellers' Solicitors on the Retention Payment Date (as defined below) less: 8.2.1 any amount paid out in accordance with sub-clause 7.2.3 (a) (Adjustment of Fixed Consideration) or sub-clause 8.3 (Payments out of Retention); and/or 8.2.2 any amount which is to be retained in the Retention Account in accordance with sub-clause 8.4 (Outstanding claims).
