Common use of Return and Destruction of Data Clause in Contracts

Return and Destruction of Data. Upon termination of the Agreement, or upon the request of Guardian, Broker shall return all Nonpublic Information to Guardian in a mutually agreed upon, industry standard format, at no cost to Guardian. For any Nonpublic Information that Broker does not or cannot return, Broker shall permanently destroy it. Broker may retain Nonpublic Information in electronic format for regulatory and compliance purposes, and in the form of system backups maintained in the ordinary course of business, subject to (i) these Security and Privacy Requirements, including, without limitation, any records retention schedules specified by Guardian; and (ii) any confidentiality obligations set forth in the Agreement.
