Return of Company Documents and Other Property. In signing this Agreement, you agree that you will return to the Company, on or before the Separation Date, any and all documents, materials and information (whether in hardcopy, on electronic media or otherwise) related to the business of the Company and its Affiliates (whether present or otherwise), and all keys, access cards, credit cards, computer hardware and software, telephones and telephone-related equipment and all other property of the Company or any of its Affiliates in your possession or control. Further, you agree that you will not retain any copy or derivation of any documents, materials or information (whether in hardcopy, on electronic media or otherwise) of the Company or any of its Affiliates. Recognizing that your employment with the Company will be terminating on the Separation Date, you agree that you will not, following the Separation Date, for any purpose, attempt to access or use any computer or computer network or system of the Company or any of its Affiliates, including without limitation the electronic mail system. Further, you agree to disclose to the Company, on or before the Separation Date, all passwords necessary or desirable to obtain access to, or that would assist in obtaining access to, all information which you have password-protected on any computer equipment, network or system of the Company or any of its Affiliates.

You agree that you will not, following the Separation Date, for any purpose, attempt to access or use any computer or computer network or system of the Company or any of its Affiliates, including without limitation the electronic mail system. Further, you agree to disclose to the Company, on or before as requested by the Separation DateCompany, any and all passwords necessary or desirable to obtain access to, or that would assist in obtaining access to, all information which you have password-protected on any computer equipment, network or system of the Company or any of its Affiliates.

In signing this Agreement, you agree that, during the Transition Period, you will only use or access documents, materials, information, property, or systems of the Company and its Affiliates to the extent necessary to perform the job duties described in Section 1(c) of this Agreement, or with the prior written consent of the Chief Executive Officer or his designee. You further represent and warrant that you will return to the Company, on or before Company upon the Separation Date, or immediately upon such other date as the Company may demand, any and all documents, materials and information (whether in hardcopy, on electronic media or otherwiseany form) related to the business of the Company and its Affiliates (whether present or otherwise), and all keys, access cards, credit cards, computer hardware and software, telephones and telephone-related equipment and all other property of the Company or any of its Affiliates in your possession or control. Further, you agree represent and warrant that you will not make or retain following the Separation Date any copy or derivation of any documents, materials or information (whether in hardcopy, on electronic media or otherwiseany form) of the Company or any of its Affiliates. Recognizing that your employment with the Company will be terminating end on the Separation Date, you agree represent and warrant that you will not, following after the Separation Date, for any purpose, attempt to access or use any computer information, computer, or computer network or system of the Company or any of its Affiliates, including without limitation the electronic mail system. Further, you agree to disclose represent and warrant that you have disclosed to the Company, on or before the Separation Date, Company all passwords necessary necessary, desirable, or desirable helpful to obtain access to, or that would assist in obtaining access to, to all information which you have password-protected on any computer equipment, network network, or system of the Company or any of its Affiliates.

Recognizing that your employment with the Company will be terminating on terminate as of the Separation Date, you agree that you will not, following the Separation Date, for any purpose, deliberately attempt to access or use any computer or computer network or system of the Company or any of its Affiliates, including without limitation the electronic mail system. Further, you agree to disclose to the Company, on or before the Separation Date, all passwords necessary or desirable to obtain access to, or that would assist in obtaining access to, all information which you have password-protected on any computer equipment, network or system of the Company or any of its Affiliates.

Further, you agree that you will not retain any copy or derivation of any documents, materials or information (whether in hardcopy, on electronic media or otherwise) of the Company or any of its Affiliatessubsidiaries or affiliates. Recognizing that your employment with the Company will be terminating on the Separation DateFurther, you agree that you will not, following the Separation Employment End Date, for any purpose, attempt to access or use any computer or computer network or system of the Company or any of its Affiliatessubsidiaries or affiliates, including without limitation the electronic mail system, except as expressly authorized by the Company in order for you to perform the consulting services. Further, you agree to disclose to the Company, on or before the Separation Employment End Date, any and all passwords necessary or desirable to obtain access to, or that would assist in obtaining access to, all information which you have password-protected on any computer equipment, network or system of the Company or any of its Affiliatessubsidiaries or affiliates.
