Common use of Return of Copies Clause in Contracts

Return of Copies. If you do not enter into the Acquisition and we so request in writing, you shall return or destroy all Confidential Information supplied to you by us and destroy or permanently erase (to the extent technically practicable) all copies of Confidential Information made by you and use your reasonable endeavours to ensure that anyone to whom you have supplied any Confidential Information destroys or permanently erases (to the extent technically practicable) such Confidential Information and any copies made by them, in each case save to the extent that you or the recipients are required to retain any such Confidential Information by any applicable law, rule or regulation or by any competent judicial, governmental, supervisory or regulatory body or in accordance with internal policy, or where the Confidential Information has been disclosed under sub-paragraph (c) of paragraph 2.2 above.

Return of Copies. Further, you shall confirm in writing to have complied with the provisions of paragraph 2.2 abovethis clause.

However, you and such Recipients shall not be under any obligation to return, destroy or permanently erase any Confidential Information contained in any:

If (a) you do not enter into the Acquisition and we so request in writingwriting and (b) we do not become or cease to be a bank under the Facility Agreement, you we shall promptly return or destroy all Confidential Information supplied to you us by us you, the Agent, the Arrangers and/or any Bank and destroy or permanently erase (to the extent technically practicable) all copies of Confidential Information made by you us and use your all reasonable endeavours to ensure that anyone to whom you we have supplied any Confidential Information destroys or permanently erases (to the extent technically practicable) such Confidential Information and any copies made by them, in each case save to the extent that you we or the recipients are required to retain any such Confidential Information by any applicable law, rule or regulation or by any competent judicial, governmental, supervisory or regulatory body or in accordance with internal policy, or where the Confidential Information has been disclosed under sub-paragraph (c2(c) of paragraph 2.2 above.
