Common use of Return of Documents and Reports Clause in Contracts

Return of Documents and Reports. If this Agreement terminates for any reason, Purchaser shall promptly return and/or deliver to Seller the following (collectively, the “Property Documents”): (i) all Property Information and any other additional property reports or materials delivered by Seller to Purchaser and copies thereof, and (ii) unless this agreement is terminated due to a default by Seller, copies of all third party reports, investigations and studies, prepared for Purchaser in connection with its due diligence review of the Property, without warranty. Purchaser’s obligation to return and/or deliver the Property Documents to Seller shall survive the termination of this Agreement.

If this Agreement terminates for any reason, Purchaser then: (i) Buyer shall promptly return and/or deliver to Seller the following (collectively, the “Property Documents”): (i) Sellers all Property Information Documents delivered by Sellers to Buyer and any other additional property reports copies thereof made, received or materials delivered retained by Seller to Purchaser and copies thereof, Buyer; and (ii) unless this agreement is terminated due at Sellers’ request, Buyer shall deliver to a default by Seller, Sellers (without any representation or warranty) copies of all third party reports, investigations and studies, other than economic analyses and documents prepared by Buyer’s attorneys (collectively, the “Reports”) prepared for Purchaser Buyer in connection with its due diligence review of the Property, without warranty. PurchaserBuyer’s obligation to return and/or deliver the Property Documents and the Reports to Seller Sellers shall survive the termination of this Agreement.
