Return of Escrowed Funds on Termination of Offering. In the event that the Escrow Agent shall have received written notice executed by a duly authorized executive officer of the Company indicating that Offering has been terminated and designating a termination date, the Escrow Agent shall return to each Subscriber, the Purchase Price (without interest or deduction) and Transaction Documents delivered by such Subscriber to the Escrow Agent. The Company shall provide the Escrow Agent with time, place and method of delivery for each Subscriber whose purchase price and Transaction Documents the Escrow Agent is to deliver pursuant to this Section.

The Company and Gran Tierra shall provide the Escrow Agent with time, place and method of delivery for each Subscriber Investor whose purchase price and Transaction Documents the Escrow Agent is to deliver pursuant to this Section.
