Common use of Return of Materials Clause in Contracts

Return of Materials. Upon the termination of Executive’s employment for any reason, Executive shall return to the Company all of the Company’s property, including, but not limited to, keys, passcards, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales materials and any other property, record, document or piece of equipment belonging to the Company.

Return of Materials. Upon the request of Company and, in any event, upon the termination of employment hereunder, Executive must return to Company and leave at its disposal all memoranda, notes, records, drawings, manuals, computer programs, documentation, diskettes, computer tapes, and other documents or media pertaining to the business of Company or Executive’s employment specific duties for any reason, Company (including all copies of such materials). Executive shall must also return to the Company and leave at its disposal all materials involving any Trade Secrets of the Company’s property. This obligation applies to all materials made or compiled by Executive, including, but not limited to, keys, passcards, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales as well as to all materials and any other property, record, document or piece of equipment belonging furnished to the CompanyExecutive by anyone else in connection with employment hereunder.

Return of Materials. Upon the termination of Executive’s employment with the Company for any reason, Executive shall return will promptly deliver to the Company (i) all of the Company’s propertycorrespondence, drawings, manuals, letters, notes, notebooks, reports, programs, plans, proposals, financial documents, or any other documents that are Proprietary Information, including all physical and digital copies thereof, and (ii) all other Company property (including, but not limited towithout limitation, any personal computer or wireless device and related accessories, keys, passcardscredit cards and other similar items) which is in Executive’s possession, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales materials and any other property, record, document custody or piece of equipment belonging to the Companycontrol.

Return of Materials. Upon the termination of Executive’s employment for any reason, The Executive shall will return to the Company all of the Company’s propertyCompany documents, includingfiles, but not limited tomanuals, books, software, equipment, keys, passcards, identification or credit cards, customer listsand all other property belonging to Company, rolodexes, tapes, software, computer files, marketing and sales materials including electronic devices and any other property, record, document or piece necessary passwords and encryption codes immediately upon the termination of equipment belonging to the CompanyExecutive’s employment with the Company for any reason.

Upon the termination of Executive’s employment for employment, or at any reasontime thereafter upon the written request of the Company, Executive shall return to the Company all written, electronic or descriptive materials of any kind belonging or relating to the Company’s propertyCompany or its affiliates, including, but not limited towithout limitation, keysany originals, passcardscopies and abstracts containing any Work Product, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales materials and any other intellectual property, record, document Confidential Information and Trade Secrets in Executive’s possession or piece of equipment belonging to the Companycontrol.

Upon the termination of Executive’s employment hereunder for any reason, Executive shall return deliver promptly to the Company all of the Company’s property, including, but not limited tocomputers, keys, passcardstelephones, other electronic devices, card keys, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales materials and any correspondence, memoranda, notes, records, drawings, sketches, plans, lists or other propertydocuments or property of the Company or its Subsidiaries, recordwhich are in Executive’s possession, document custody or piece of equipment belonging to the Companycontrol.

Upon the termination of When Executive’s employment with the Company terminates, for any whatever reason, he will promptly deliver to the Company all originals and copies of all documents, records, software code and programs, media and other materials containing any of the Company’s Trade Secrets or Confidential Information and all other property belonging to the Company. Executive shall will also return to the Company all of the Company’s propertyequipment, including, but not limited to, keys, passcards, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing software programs and sales materials and any other property, record, document personal property or piece of equipment intellectual property belonging to the Company.

Return of Materials. Upon the termination of Executive’s employment with the Company or at any other time as requested by the Company, and regardless of the reason for any reasonsuch termination or request, Executive shall will leave with, or promptly return to to, the Company all of documents, records, notebooks, magnetic tapes, disks or other materials, including all copies, in Executive’s possession or control which contain Confidential Information or any other information concerning Parent, the Company’s property, includingany of their Affiliates or any of their respective products, but not limited toservices or clients, keys, passcards, credit cards, customer lists, rolodexes, tapes, software, computer files, marketing and sales materials and any other property, record, document whether prepared by the Executive or piece of equipment belonging to the Companyothers.
