Common use of Return of Purchase Price Clause in Contracts

Return of Purchase Price. In the event that the registration of the Amended Organizational Documents, as necessary under Ukrainian Law, has not occurred within thirty (30) calendar days of the Closing Date, then (i) the Escrow Agent shall deliver to the Purchaser the balance of the Purchase Price plus any accrued interest thereon in accordance with the Escrow Agreement, and the Purchaser’s obligation to pay the Purchase Price shall terminate; (ii) the Seller’s obligation to transfer the Participation Interest shall terminate.
