Return or destruction of copies. 12.1 Upon termination of this Agreement, regardless of the reason for the termination, the Licensee shall immediately and in accordance with the Licensor’s instructions return or destroy all copies of the Software. The Licensee shall thereafter certify in writing to the Licensor that such return or destruction has occurred and that the Licensee neither directly nor indirectly, in whole or in part, hold or dispose of the Software or any copy thereof.
