Common use of Return or Destruction Clause in Contracts

Return or Destruction. On the expiration or termination of the Agreement, as applicable, and at any other time upon written request from the Disclosing Party, the Receiving Party shall promptly return to the Disclosing Party all copies, whether in written, electronic, or other form or media, of the Disclosing Party’s Confidential Information, or at the Disclosing Party’s direction destroy all such copies and certify in writing to the Disclosing Party that such Confidential Information has been destroyed, except for copies that are maintained as archive copies on the Receiving Party’s disaster recovery and/or information technology backup systems; provided the Receiving Party shall continue to be subject to the other obligations of this Section 9. The Receiving Party shall destroy any such copies upon the normal expiration of its backup files.
