Review Of Distributor's Compliance. The Company may periodically ---------------------------------- review Distributor's compliance with this Agreement. Distributor agrees to provide the Company with such relevant records as the Company may request, but in this case, the Company agrees and understands that this information will be considered as Distributor proprietary and confidential information, and therefore it shall be treated as confidential by the Company, in terms of this Agreement. The Company may reproduce and retain copies of such records. The Company, directly or through an independent auditor, may conduct a review of Distributor's compliance with this Agreement on Distributor's premises during Distributor's business hours. If, during the Company's review of Distributor's compliance with this Agreement, the Company finds that Distributor has materially breached the terms of this relationship, the Company shall be entitled to exercise all its rights under law and equity and the terms of this Agreement.
