Common use of Review of Documents; Binding Obligations Clause in Contracts

Review of Documents; Binding Obligations. Each Company has reviewed this Agreement, the Notes and the Collateral Documents with counsel for the Companies and has had the opportunity to discuss the provisions thereof with the Agent prior to execution. This Agreement, the Notes and the Collateral Documents constitute valid and binding obligations of the Companies which are party thereto, enforceable in accordance with their terms (except that enforcement may be subject to any applicable bankruptcy, insolvency or similar laws generally affecting the enforcement of creditors’ rights). Each Company further represents and warrants that it is in compliance with all of the affirmative and negative covenants contained in this Agreement and the Collateral Documents.
