Common use of Reviewing Party Clause in Contracts

Reviewing Party. “Reviewing Party” shall mean, subject to the provisions of Section 2(g), any person or body appointed by the Board in accordance with applicable law to review the Company’s obligations hereunder and under applicable law, which may include a member or members of the Board, Independent Legal Counsel or any other person or body not a party to the particular Proceeding for which Indemnitee is seeking indemnification, as set forth in Section 2(i). ​

Reviewing Party. “Reviewing Party” shall mean, subject to the provisions of Section 2(g), any person or body appointed by the Board in accordance with applicable law to review the Company’s obligations hereunder and under applicable law, which may include a member or members of the Board, Independent Legal Counsel or any other person or body not a party to the particular Proceeding for which Indemnitee is seeking indemnification, as set forth in Section 2(i). ​.

Reviewing Party. “Reviewing Party” shall mean, subject to the provisions of Section 2(g3(f), any person or body appointed by the Board in accordance with applicable law to review the Company’s obligations hereunder and under applicable law, which may include a member or members of the Board, Independent Legal Counsel or any other person or body not a party to the particular Proceeding for which Indemnitee is seeking indemnification, as set forth in Section 2(i). ​.

Reviewing Party. A “Reviewing Party” shall mean, subject to mean any appropriate person or body consisting of a member or members of the provisions of Section 2(g), Board or any other person or body appointed by the Board in accordance with applicable law to review the Company’s obligations hereunder and under applicable law, which may include a member or members of the Board, Independent Legal Counsel or any other person or body who is not a party to the particular Proceeding Claim for which Indemnitee is seeking indemnification, as set forth in Section 2(i). ​or Independent Legal Counsel.

Reviewing Party. “Reviewing Party” shall mean, subject to means the provisions of Section 2(g), any person or body appointed by the Board pursuant to Section 11(d) herein and in accordance with applicable law to review the Company’s obligations hereunder and under applicable law, which may include a member person or body shall be either members of the Board, Board who are not interested in the particular Claim or Independent Legal Counsel Counsel; provided, however, that if there has been a Change in Control or any other person or body not a party to Potential Change in Control, the particular Proceeding for which Indemnitee is seeking indemnification, as set forth in Section 2(i). ​Reviewing Party shall be Independent Legal Counsel.
