Revocable Consent Agreements Sample Clauses
Revocable Consent Agreements. Landlord acknowledges that Tenant is entitled to all rights of grantee under the Revocable Consent Agreements, and Tenant acknowledges that it is responsible for (and subject to the provisions of Section 18.02, shall indemnify and hold Landlord harmless from) all obligations thereunder, including, without limitation, any payment and restoration obligations, whether arising before or during the Term. On or prior to the Expiration Date or such earlier date upon which the Term may expire or terminate, Tenant shall either terminate the Revocable Consent Agreements or, upon Landlord’s request, assign same to Landlord to the extent assignable; provided, that Tenant shall not be required to do either of the foregoing in the case that Tenant continues to lease a portion of the Premises pursuant to the Amended and Restated Lease. “Revocable Consent Agreement” means that certain Revocable Consent Agreement made by the Franchise Division and accepted and agreed to by Tenant and US Bank National Association and recorded on May 19, 2004 in the Office of the City Register of the City of New York under CRFN 2004000314864. “Franchise Division” means The City of New York Department of Transportation, Division of Franchises, Concessions and Consents.
