Rezoning Effective. It is anticipated that The City and City Council will pass a resolution to amend the City Zoning Ordinance and Zoning Map to rezone the Property from C-2 (General Commercial District) District to R-3 (Single/Multiple Family Residential District) District, subject to the terms and conditions of this Agreement. The City’s Zoning Map shall be amended to reflect the new zoning classification, and that such new zoning classification is subject to this Agreement. The conditional rezoning approval and the amendment to the Zoning Map shall become effective when this Agreement is recorded with the Oakland County Register of Deeds.

  • Continuing Effectiveness As hereby amended, the Credit Agreement shall remain in full force and effect and is hereby ratified and confirmed in all respects. After the effectiveness hereof, all references in the Credit Agreement or other Loan Documents to the “Agreement”, the “Credit Agreement” or similar terms shall refer to the Credit Agreement as amended hereby. This Amendment is a Loan Document.

  • Continuing Effect Except as contemplated hereby, the Agreement shall remain in full force and effect in accordance with its terms.

  • Binding Effect; Choice of Law This Lease shall be binding upon the parties, their personal representatives, successors and assigns and be governed by the laws of the State in which the Premises are located.   • Continuing Effect of the Credit Agreement This Amendment shall not constitute a waiver of any provision not expressly referred to herein and shall not be construed as a consent to any action on the part of the Borrowers or Guarantors that would require a waiver or consent of the Lenders or an amendment or modification to any term of the Loan Documents except as expressly stated herein. Except as expressly modified hereby, the provisions of the Credit Agreement and the Loan Documents are and shall remain in full force and effect.

  • Superseding Effect This Agreement supersedes any prior agreement or understanding between the parties with respect to the subject matter hereof.

  • Binding Effect; Governing Law Except as modified hereby, the Lease shall remain in full effect and this Amendment shall be binding upon Landlord and Tenant and their respective successors and assigns. If any inconsistency exists or arises between the terms of the Lease and the terms of this Amendment, the terms of this Amendment shall prevail. This Amendment shall be governed by the laws of the State in which the Premises are located.

Except as expressly amended or modified herein, the provisions of the Credit Agreement are and shall remain in full force and effect.

  • Continuing Effect; No Other Amendments Except as expressly amended or waived hereby, all of the terms and provisions of the Credit Agreement and the other Loan Documents are and shall remain in full force and effect. The amendments and waivers contained herein shall not constitute an amendment or waiver of any other provision of the Credit Agreement or the other Loan Documents or for any purpose except as expressly set forth herein.
