Holdings shall have received duly executed certificates of the Secretary or an Assistant Secretary (or equivalent officer) of each of Rhino, Rhino GP and Royal certifying the names and signatures of the officers of Rhino, Rhino GP and Royal, respectively, authorized to sign any documents to be delivered by Rhino, Rhino GP or Royal, respectively, in connection with the Issuance and Transfer Upon Exercise.
