Right of First Refusal for all other Transfers. If at any time a Member (the “Offeror”) desires to Transfer or offer for a bona fide sale any or all of such Member’s Membership Interest to any third party or receives a bona fide offer from a prospective purchaser to purchase any or all of such Member’s Membership Interest and such Member desires to Transfer such portion or all of such Membership Interest (the “Offered Membership Interest”), and such Transfer or offer is not otherwise subject to Section 19.1.2.1, the other Member (the “Beneficiary”) shall have the right of first refusal with respect to the Offered Membership Interest as provided by this Section 19.1.2.2 (the “Right of First Refusal”).
