Right of First Refusal to Provide Medical Director Services. If the Company or any affiliate of the Company seeks to establish any de novo or satellite dialysis facility within the Territory (as defined in Section 7.1), then the Practice shall have a right of first refusal, but not the obligation, to provide medical director services to any such facility. The terms and provisions governing the provision of such services shall be substantially the same as the terms and provisions of this Agreement, provided that the compensation for such additional services shall not be less than $30,000 per facility. The Company will notify the Practice in writing at least 120 days prior to opening a de novo or satellite facility. Such notice will specify the medical director fee proposed for such facility. If the Practice declines such offer or fails to respond to such offer within the applicable 120-day period, then the Company will be free to engage another physician or practice to provide such medical director services on substantially the same terms and conditions as offered by the Company to the Practice.
