Common use of Right of First Refusal to Purchase Certain Assets Clause in Contracts

Right of First Refusal to Purchase Certain Assets. (a) Beginning on the date hereof and terminating on the Rights Termination Date, Noble Energy Group hereby grants to the Partnership a right of first refusal on (i) any proposed Transfer of ROFR Assets (other than a grant of a security interest to a bona fide third-party lender or a Transfer to the Noble Energy Group Member; provided that such Noble Energy Group Member shall remain bound by this Section 4.1(a) of the ROFR Assets); and (ii) the provision of ROFR Services on the ROFR Acreage. (b) The Parties acknowledge that all potential Transfers of ROFR Assets pursuant to this Section 4.1 are subject to obtaining any and all required written consents of Governmental Authorities. (c) The Partnership shall have the right, in its sole discretion, to assign its rights under this Section 4.1 to any Affiliate of the Partnership.
