Common use of Right of Indemnitee to Bring Suit Clause in Contracts

Right of Indemnitee to Bring Suit. (a) If a claim by the Indemnitee to the Company for indemnification under Section 2 of this Agreement is not paid in full by the Company within thirty (30) days after a written claim has been received by the Company, or if a claim by the Indemnitee to the Company for an advancement of Defense Costs under Section 3 of this Agreement is not paid in full within twenty (20) days as specified in Section 3, the Indemnitee may at any time thereafter bring suit against the Company to recover the unpaid amount of the claims.

Right of Indemnitee to Bring Suit. (a) If a claim by the Indemnitee to the Company for indemnification under Section 2 2, 3 or 4 of this Agreement is not paid in full by the Company within thirty (30) days after a written claim has been received by the Company, or if except in the case of a claim for an Advancement of Expenses, in which case the applicable period shall be two days after a written request has been received by the Indemnitee to the Company for an advancement of Defense Costs under Section 3 of this Agreement is not paid in full within twenty (20) days as specified in Section 3Company, the Indemnitee may at any time thereafter bring suit against the Company to recover the unpaid amount of the claimssuch claim.

If Indemnitee is successful in whole or in part in such suit, Indemnitee shall also be paid the expense of prosecuting such claim (including without limitation attorneys' fees).
