Common use of Right of Lessee to Act as Lessor’s Agent Clause in Contracts

Right of Lessee to Act as Lessor’s Agent. The Lessor agrees that the Lessee may act as the Lessor's agent in placing Vehicle Orders on behalf of the Lessor, as well as filing claims on behalf of the Lessor for damage in transit, and other Manufacturer delivery claims related to the Vehicles leased hereunder; provided, however, that the Lessor may hold the Lessee liable for losses due to the Lessee's actions in performing as the Lessor's agent hereunder. In addition, the Lessor agrees that the Lessee may make arrangements for delivery of Vehicles to a location selected by the Lessee at the Lessee's expense to the extent that any such expense has not been included in the Capitalized Cost of such Vehicle. The Lessee may accept or reject Eligible Vehicles upon delivery in accordance with the Lessee's customary business practices, and any Eligible Vehicle, if rejected, will be deemed a Casualty hereunder to the extent the Capitalized Cost thereof has been paid by the Lessor or the Lessee. The Lessee agrees to accept Vehicles leased hereunder as produced and delivered except that the Lessee will have the option to reject any such Vehicle that may accept be rejected pursuant to the terms of the applicable Manufacturer Program (with respect to Program Vehicles and Non-Program Vehicles subject to a Manufacturer Program), or reject Eligible Vehicles upon delivery in accordance with the Lessee's its customary business practices, and any Eligible Vehicle, if rejected, will be deemed a Casualty hereunder practices with respect to the extent the Capitalized Cost thereof has been paid by the Lessor or the Lesseeother Non-Program Vehicles. The Lessee, acting as agent for the Lessor, shall be responsible for pursuing any rights of the Lessor with respect to the return of any Eligible Vehicle to the Manufacturer thereof of any Vehicle leased hereunder that has been rejected pursuant to the preceding sentence. The Lessee agreesagrees that all Program Vehicles ordered as provided herein shall be ordered utilizing the procedures consistent with an Eligible Manufacturer Program. Without limiting the foregoing, the Lessee agrees to give immediate notice to the Lessor, in such form and to such address as the Lessor may from time to time specify and in accordance with the terms of the Master Exchange Agreement, of each acceptance and of any rejection of any Program Vehicle identified by the Lessor as Replacement Property.

In addition, the Lessor agrees that the Lessee may make arrangements for delivery of Vehicles Group I Trucks to a location selected by the Lessee at the Lessee's expense to the extent that any such expense has not been included in the Capitalized Cost of such Vehicle’s expense. The Lessee may accept or reject Eligible Vehicles Trucks upon delivery in accordance with the Lessee's ’s customary business practices, and any Eligible VehicleTrucks, if rejected, will be deemed a Casualty hereunder to the extent the Capitalized Cost thereof has been paid by the Lessor or the Lesseehereunder. The Lessee, acting as agent for the Lessor, shall be responsible for pursuing any rights of the Lessor with respect to the return of any Eligible Vehicle Trucks to the Manufacturer manufacturer thereof pursuant to the preceding sentence. The Lessee agreesagrees that all Group I Trucks ordered as provided herein shall be Eligible Vehicles.

The Lessee, acting as agent for the Lessor, shall be responsible for pursuing any rights of the Lessor with respect to the return of any Eligible Vehicle to the Manufacturer thereof pursuant to the preceding sentence. The Lessee agreesagrees that any Vehicles ordered by Lessee on behalf of the Lessor pursuant to this Section 2,2 shall be ordered utilizing the procedures consistent with the applicable Manufacturer Program or any guidelines of the Manufacturer for the ordering or purchasing of Non-Program Vehicles, in each case as and to the extent applicable.

The Lessee, acting as agent for the Lessor, shall be responsible for pursuing any rights of the Lessor with respect to the return of any Eligible Vehicle to the Manufacturer thereof pursuant to the preceding sentence. The Lessee agreesagrees that all vehicles ordered as provided herein shall be Eligible Vehicles and shall be ordered utilizing the procedures consistent with the applicable Vehicle Disposition Program or any guidelines of the Manufacturer for the ordering or purchasing of Non-Program Vehicles, in each case as and to the extent applicable.

The Lessee, acting as agent for the Lessor, shall be responsible for pursuing any rights of the Lessor with respect to the return of any Eligible Vehicle Trucks to the Manufacturer manufacturer thereof pursuant to the preceding sentence. The Lessee agreesagrees that all Group I Trucks ordered as provided herein shall be Eligible Vehicles.
