Right to Act; Enforceability Clause Samples

Right to Act; Enforceability. No registration with, notice to, consent or approval of any third party, including any governmental agency of any kind, is required for the due execution and delivery of, or for the enforceability of, this Agreement or any other Loan Document. The Persons executing and delivering this Agreement and the other Loan Documents on behalf of Borrower have been duly authorized to do so, and this Agreement and the applicable Loan Documents are legally binding upon the Borrower and are enforceable in accordance with their terms, except to the extent the validity or enforceability of any Loan Document may be affected by applicable bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium or other laws relating to or affecting the rights of creditors generally, and excepting the availability of any equitable or specific remedy as may be provided therein.
