Common use of Right to Convene Meeting Clause in Contracts

Right to Convene Meeting. The Trustee or the Corporation may at any time and from time to time, and the Trustee shall on receipt of a Request of the Corporation or a Debentureholders’ Request and upon being indemnified and funded to its reasonable satisfaction by the Corporation or by the Debentureholders signing such request against the costs which may be incurred in connection with the calling and holding of such meeting, convene a meeting of the Debentureholders. In the event of the Trustee failing within 10 days after receipt of any such request and such indemnity to give notice convening a meeting, the Corporation or such Debentureholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Calgary, or at such other place as may be approved or determined by the Trustee.

The Trustee or the Corporation may at any time and from time to timetime and shall, and the Trustee shall on receipt of a Corporation Request of the Corporation or a DebentureholdersNoteholders’ Request Request, upon receiving sufficient funds, and upon being indemnified and funded to its reasonable satisfaction by the Corporation or by the Debentureholders Noteholders signing such request Noteholders’ Request against the costs which may be incurred in connection with the calling and holding of such meeting, convene a meeting of the DebentureholdersNoteholders. In the event of the Trustee failing failing, within 10 30 days after receipt of any such request request, funds and such indemnity indemnity, to give notice convening a such meeting, the Corporation or such DebentureholdersNoteholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Calgary, Alberta, or at such other place as may be approved or determined by the Trustee. The accidental omission to give notice of a meeting to any Noteholder shall not invalidate any resolution passed at any such meeting.

The Trustee or the Corporation may at any time and from time to time, time and the Trustee shall on receipt requisition in writing made by the Company or by the holders of a Request at least 10% of the Corporation or a Debentureholders’ Request principal amount of Debentures then outstanding and upon being funded and indemnified and funded to its reasonable satisfaction by the Corporation Company or by the Debentureholders signing debenture holders making such request requisition against the costs which may be incurred in connection with the calling and holding of such meeting, convene a meeting of the Debentureholdersdebenture holders. In the event of the Trustee failing within 10 30 days after receipt of any such request a requisition is made and such indemnity given as aforesaid, to give notice convening a meeting, the Corporation Company or such Debentureholdersdebenture holders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Calgary, Calgary or at such other place as may be approved or determined by the TrusteeTrustee and the Company, each acting reasonably.

In the event of the Trustee failing within 10 30 days after receipt of any such request request, indemnity and such indemnity funding to give notice convening a such meeting, each of the Corporation Corporations or such DebentureholdersLicenseholders, as the case may be, may convene such meeting. Every such meeting shall be held in the City of Calgary, Alberta or at such other place as may be approved or determined by the Trustee.
