Common use of Right to Enter Agreement Clause in Contracts

Right to Enter Agreement. Noven warrants that it has the right to enter into this License Agreement, and that there are no outstanding assignments, grants, licenses, encumbrances, obligations or agreements, either written, oral or implied, inconsistent with this License Agreement.

Noven represents that it does not have actual knowledge of any valid patents of third parties which would be infringed by the manufacture, use or sale of any or all of the Licensed Products according to the terms of this License Agreement.
