Common use of Right to Estoppel Certificates Clause in Contracts

Right to Estoppel Certificates. Within ten (10) business days after written notice from Lessor, Lessee shall execute and deliver to Lessor, a certificate stating that there are no defaults under the Lease, or itemizing any defaults Lessee contends exists, that the Lease is unmodified and in full force and effect, or in full force and effect as modified, and state the modifications and any other information reasonably required by a lender or purchaser, including but not limited to the amount of Base Monthly Rent, the date to which Base Monthly Rent has been paid in advance, and the amount of the Security Deposit or any prepaid Rent. Failure to deliver the certificate within the ten (10) business days shall be conclusive as to Lessee that this Lease is in full force and effect and has not been modified except as may be represented by Lessor. If Lessee fails to deliver the certificate within the ten (10) business days, Lessee irrevocably constitutes and appoints Lessor as its special attorney in fact to execute and deliver the certificate to any third party.
