Common use of Right to Pay Third-Party Providers Clause in Contracts

Right to Pay Third-Party Providers. Manager shall have the right (but not the obligation) to pay (directly or through an Affiliate) a reasonable allocation of any amounts due to a third-party for any Third-Party Centralized Services provided to the Managed Facilities, in which case, notwithstanding anything to the contrary in this Agreement, such amounts shall be deemed to be Reimbursable Expenses for all purposes under this Agreement and such amount shall not be included in the Centralized Services Charges to the extent it is characterized as a Reimbursable Expense.
