Common use of Right to Rely Clause in Contracts

Right to Rely. Notwithstanding any right of the Investors ------------- (whether or not exercised) to investigate the affairs of the Company or any right of any party (whether or not exercised) to investigate the accuracy of the representations and warranties of the other party contained in this Agreement, the Company and Modem Media, on the one hand, and the Investors, on the other hand, have the right to rely fully upon the representations, warranties, covenants and agreements of the other contained in this Agreement.
