RIGHT TO SUB-CONTRACT. Nothing in this Agreement shall preclude the City from exercising its right to sub-contract for any goods or services. The Union, however, shall be afforded the right to subscribe, without charge, to the City’s E-Alert system in order to receive by e-mail notices of posted Requests for Proposal (RFP). Should the Union wish to discuss the subject matter of any particular RFP or to offer any proposal that it may have for performing the work by the use of bargaining unit employees, it may do so by requesting a Labor-Management meeting under Section 8.3.

RIGHT TO SUB-CONTRACT. 3.1 The Customer authorises the Courier to engage a Sub-Contractor for the carriage of any of the goods subject to this contract at its discretion. 3.2 The Sub-Contractor is deemed to be entitled to the full benefit of these terms and conditions to the same extent as the Courier. The Courier is deemed to have entered into this contract for its own benefit and also as agent for the Sub-Contractor.
RIGHT TO SUB-CONTRACT. 4.1 The Manager shall be entitled to procure performance of the Manager's duties and obligations under this Agreement to any of its subsidiaries or arrange on behalf of the Company, the Company’s management subsidiaries and the SPVs the performance of the Services by third parties (collectively, the “Sub-Managers”), as agreed to by the Company or the SPVs from time to time. 4.2 In the event of any sub-contract by the Manager or arrangement as mentioned above, the Manager shall promptly notify the Company, the Company’s management subsidiaries and the SPVs thereof and shall remain fully liable for the due performance of its obligations under this Agreement except in the case of sub-contracting or arranging the Services under Clause 2.1(f) in which case the Sub-Managers will be solely liable towards the Company, the Company’s management subsidiaries and the SPVs and the Manager will have no liability under Clause 6.2 of this Agreement or otherwise in respect of the performance of Services under Clause 2.1(f) by a Sub-Manager. The Company’s management subsidiaries and the SPVs, as applicable, shall enter into the relevant management agreements with the Sub-Managers in respect of the provision of the Services under Clause 2.1(f).
RIGHT TO SUB-CONTRACT. We may appoint employees, sub-contractors or agents to provide all or part of the Services; and such entities are bound by the same obligations as us. It is our responsibility to ensure such entities comply with this Agreement. We warrant that we and every person who provides the Services on our behalf is competent and has the necessary skills, qualifications, permits and licences to provide the Services.
RIGHT TO SUB-CONTRACT. In carrying out the Study, the Contractor may only rely on the services of those Approved Sub-Contractors listed in Annex E L( ist of Approved Sub-Contractors), as such list may, from time to time, be modified or supplemented in agreement with the Principal and in accordance with the terms and subject to the criteria contained in the applicable public procurement laws of the Republic of Latvia. Annex E shall specify the name, contact details and legal representative(s) of each Approved Sub- Contractor as of the Effective Date. The Contractor shall have an obligation to notify the Principal in writing of any changes to Sub-Contractor data specified in Annex E occurring during the term of this Agreement and of the required information for any new sub-contractors which it may subsequently engage toward provision of the Study. Pursuant to the Public Procurement Law of the Republic of Latvia applicable at the date of entry into effect of this Agreement, the Service Provider shall obtain prior written consent of the Principal for the replacement of a Sub-Contractor: (a) whose capacities the Service Provider has relied on during the selection or evaluation stages of the Procurement Procedure; or (b) who carries out at least 10% (ten per cent) of the total value (Contract Price) of the Services. Review and evaluation of the replacement Sub-contractors shall be carried out, and the consent or refusal to give consent shall be rendered by the Principal in accordance with the applicable Law of the Republic of Latvia in the area of public procurement. The Service Provider shall replace the Sub-contractor which, during the effectiveness of this Agreement, meets any of the compulsory grounds for exclusion of tenderers (or sub-contractors) that were verified during the Procurement Procedure.
RIGHT TO SUB-CONTRACT. For the avoidance of doubt the requirements of this Clause is only attributable to Approved Sub-Contractors that the Contract may involve in the provision of Services but is not attributable to members of Contractor’s Temporary Professional Staff which are not considered as Approved Sub-Contractors of the Contractor in the sense of the Applicable Law. 7.6.1 In carrying out the Services, the Contractor may only rely on the services of those Approved Sub- Contractors listed in Annex D: List of approved Sub-Contractors, as such list may, from time to time, be modified or supplemented in agreement with the Principal and in accordance with the terms and subject to the criteria contained in the applicable Public Procurement Law of the Republic of Latvia. Parties shall specify the name, contact details and legal representative(s) of each Approved Sub- Contractor as of the Effective Date in Annex D: List of approved Sub-Contractors. The Contractor shall have an obligation to notify the Principal in writing of any changes to Sub-Contractor data specified in Annex D: List of approved Sub-Contractors occurring during the term of this Agreement and of the required information for any new Sub-Contractors which it may subsequently engage toward provision of the Services. 7.6.2 Pursuant to the Public Procurement Law of the Republic of Latvia the Contractor shall obtain prior written consent of the Principal for the replacement of each Sub-contractor indicated in Annex D: List of approved Sub-Contractors and involvement of additional Sub-contractors. 7.6.3 Review and evaluation of the replacement of Sub-contractors shall be carried out, and the consent or refusal to give consent shall be rendered by the Principal in accordance with Article 62 of the Public Procurement Law of the Republic of Latvia. 7.6.4 The Contractor shall replace the Sub-Contractor which, during the effectiveness of this Agreement, meets any of the compulsory grounds for exclusion of tenderers (or Sub-Contractors) that were verified during the Procurement Procedure.

RIGHT TO SUB-CONTRACT. Save in respect of the sub-contracts listed in Schedule 5 of this Agreement, neither the Manager, Eurobulk nor Eurochart shall be entitled to sub-contract any of their respective obligations under this Agreement without the prior written consent of Euromar (acting by a Qualified Majority of Managers and which consent shall not be unreasonably withheld) and provided always that (i) the Manager, Eurobulk and/or Eurochart (as the case may be) shall exercise all care, diligence and skill that a prudent ship manager would so exercise in selecting and engaging any such sub-contractor(s) and (ii) any incremental additional costs and fees of such sub-contractor shall, unless otherwise agreed, be for the account of Manager, Eurobulk and/or Eurochart (as the case may be). In the event of such a sub-contract the Manager, Eurobulk and/or Eurochart (as the case may be) shall remain fully liable for the due performance of their respective obligations under this Agreement.
RIGHT TO SUB-CONTRACT. Web Matters may subcontract the performance of any of their responsibilities under this contract to another party.
RIGHT TO SUB-CONTRACT. The Company shall be entitled to sub-contract the whole or any part of the Contract without the Buyer's written consent.
