Common use of Right to Substitute Disbursed Funds Account Clause in Contracts

Right to Substitute Disbursed Funds Account. The Issuers from time to time shall have the right to designate a substitute account to serve as the Disbursed Funds Account; provided that no such substitute account shall become the “Disbursed Funds Account” until (a) the depository financial institution at which the substitute account is located shall have acknowledged in a manner satisfactory to the Trustee that such institution has waived its right of set off in such account or any liens thereto, statutory or otherwise, and will have entered into an agreement substantially similar to a Pledge Agreement, and (b) the Trustee and the Disbursement Agent shall have received written notice of the location and account number of such new substitute account.
