Right to terminate agreement for failure to perform. If at any time after time is made of the essence for Completion: (a) Completion has not occurred; and (b) a party (“the defaulting party”) has failed to perform any of its obligations under this agreement by the time specified in this agreement or continues to fail to do so, the other party may terminate this agreement by notice to the defaulting party without affecting any other right it might have.
