Rights and Exceptions Clause Samples

The 'Rights and Exceptions' clause defines the specific rights granted to parties under the agreement, as well as any limitations or carve-outs to those rights. In practice, this clause may outline what actions are permitted, such as the right to use certain intellectual property, while also listing exceptions where those rights do not apply, like restrictions for competitive use or legal compliance. Its core function is to clearly delineate the scope of permissions and boundaries, preventing misunderstandings and disputes over what is allowed or restricted under the contract.
