Rights and Obligations on Expiration and Termination. In the event of termination or expiration of this AGREEMENT for any reason, the Parties shall have the following rights and obligations: a) Merck shall without undue delay transfer the MARKETING AUTHORIZATION for the PRODUCT to Nitec Germany or to a third party designated by Nitec Germany. b) All of Merck’s rights under or related to the TRADEMARK automatically end upon termination of this AGREEMENT. Termination of this AGREEMENT shall not release either Party from the obligation to deliver or to make payment of all amounts then or thereafter due and payable;
