Common use of Rights and Powers of Collateral Agent Clause in Contracts

Rights and Powers of Collateral Agent. The rights and powers granted to the Collateral Agent by the Secured Parties have been granted in order to, among other things, perfect their Lien in the Depositary Accounts and the other Account Collateral and to otherwise act as their agent with respect to the matters contemplated hereby. The Collateral Agent shall exercise such rights and powers as contemplated by and subject to the terms and conditions of the Collateral Documents.

The rights and powers granted to the Collateral Agent by the Secured Credit Parties pursuant to the Credit Agreement and the Security Documents have been granted in order to, among other things, perfect their Lien the Collateral Agent’s Liens for the benefit of the Secured Parties in the Depositary Accounts and the other Account Collateral and to otherwise act as their the agent of the Secured Parties with respect to the matters contemplated hereby. The Collateral Agent shall exercise such rights and powers as contemplated by and subject to the terms and conditions of the Collateral Documents.
