Common use of Rights and Remedies of Indenture Trustee Regarding Termination Clause in Contracts

Rights and Remedies of Indenture Trustee Regarding Termination. In the event of removal of the Custodian pursuant to this Custodial Agreement by the Indenture Trustee, the Indenture Trustee shall have all of the rights and remedies available with respect thereto at law or equity, and, without limiting the foregoing, the Indenture Trustee may by notice in writing to the Custodian as provided under this Custodial Agreement terminate all the rights and obligations of the Custodian under this Custodial Agreement (except those that survive termination pursuant to Section 8.5). Upon the expiration of any applicable notice period with respect to termination of this Custodial Agreement, all authority and power of the Custodian under this Custodial Agreement, whether with respect to each Funding Agreement or Guarantee or otherwise, shall automatically and without further action by any Person or entity pass to and be vested in the successor Custodian upon the appointment thereof and the agreement of such successor Custodian to assume the Custodian's duties and obligations under this Custodial Agreement.

Upon the expiration of any applicable notice period with respect to the termination of this Custodial Agreement, all authority and power of the Custodian under this Custodial Agreement, whether with respect to each GELAAC Funding Agreement or Guarantee or otherwise, shall automatically and without further action by any Person or entity pass to and be vested in the successor Custodian upon the appointment thereof and the agreement of such successor Custodian to assume the Custodian's ’s duties and obligations under this Custodial Agreement.
