Common use of Rights as a Stockholder; Transferability Clause in Contracts

Rights as a Stockholder; Transferability. The Participant shall have no rights as a stockholder with respect to the RSU Shares, if applicable, unless and until the Participant has become the holder of record upon distribution of such RSU Shares. Adjustments shall be made for dividends in cash or other property, distributions or other rights with respect to the RSUs or, if applicable, the RSU Shares only to the extent expressly provided in Section 10 or the Plan. Unless and until the RSU Shares, if applicable, are distributed to the Participant, such RSU Shares shall not be Transferable by the Participant.
