Common use of Rights as Shareholder Clause in Contracts

Rights as Shareholder. Until all requirements for vesting of the RSUs pursuant to the terms of this Agreement and the Plan have been satisfied, the Participant shall not be deemed to be a shareholder of the Company, and shall have no dividend rights or voting rights with respect to the RSUs or any Shares underlying or issuable in respect of such RSUs until such Shares are actually issued to the Participant.

Rights as Shareholder. Until all requirements for vesting of the RSUs pursuant to the terms of this Agreement and the Plan have been satisfied, the Participant shall not be deemed to be a shareholder or to have any of the Company, and shall have no dividend rights or voting rights of a shareholder with respect to the RSUs or any Shares underlying or issuable in respect of such RSUs until such Shares are actually issued to the ParticipantShares.

No adjustment will be made for a dividend or any Shares underlying or issuable in respect of such RSUs until such other right for which the record date is prior to the date the Shares are actually issued to issued, except as provided in Section 15(a) of the ParticipantPlan.
