Common use of Rights as Stockholder Clause in Contracts

Rights as Stockholder. Neither the Employee nor any person claiming under or through the Employee will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee (including through electronic delivery to a brokerage account). After such issuance, recordation and delivery, the Employee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee Participant nor any person claiming under or through the Employee Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee Participant (including through electronic delivery to a brokerage account). After such issuance, recordation recordation, and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. After such issuance, recordation and delivery, the Employee Grantee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee nor any person claiming under or through the Employee will have any of the rights or privileges of a stockholder of the Company in respect of any of the Shares deliverable hereunder covered by this SAR unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee (including through electronic delivery to a brokerage account). After such issuance, recordation and delivery, the Employee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. After such issuance, recordation and delivery, the Employee Director will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee Participant nor any person claiming under or through the Employee will Participant shall have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will shall have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee Participant (including through electronic delivery to a brokerage account). Rights as Stockholder. Neither the Employee Participant nor any person Person claiming under or through the Employee Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book book-entry form) will have been issued, issued and recorded on the records of the Company or its transfer agents or registrars, registrars and delivered to the Employee Participant (including through electronic delivery to a brokerage account). After Except as otherwise provided herein, after such issuance, recordation and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and Shares, including, without limitation, the right to receipt of dividends and distributions on such Shares. ARTICLE III.

Rights as Stockholder. Neither the Employee Participant nor any person claiming under or through the Employee Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to Participant or the Employee Escrow Agent (including through electronic delivery to a brokerage account). After Except as provided in Section 2, after such issuance, recordation and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee nor any person claiming under or through the Employee will shall have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will shall have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee (including through electronic delivery to a brokerage account)or the Escrow Agent. After Except as provided in paragraph 10, after such issuance, recordation and delivery, the Employee Director will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. After such issuance, recordation and delivery, the Employee Director will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee Participant nor any person claiming under or through the Employee Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee Participant (including through electronic delivery to a brokerage account). After such issuance, recordation recordation, and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares. 13.

Rights as Stockholder. After Except as otherwise provided herein, after such issuance, recordation and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and Shares, including, without limitation, the right to receipt of dividends and distributions on such Shares.. After such issuance, recordation and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares Stock and receipt of dividends and distributions on such SharesStock.

Rights as Stockholder. Neither the Employee nor any person claiming under or through the Employee will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Trustee for the benefit of the Employee (including through electronic delivery to a brokerage account). After such issuance, recordation and delivery, the Employee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such SharesShares held by the Trustee for the Employee’s benefit.

Rights as Stockholder. After Except as provided in paragraph 12, after such issuance, recordation recordation, and delivery, the Exhibit 10.3 Employee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Rights as Stockholder. Neither the Employee nor any person claiming under or through the Employee will have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder Performance Share unless and until certificates representing such Shares (which may be in book entry form) will have been issuedissued in accordance with paragraph 3, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee (including through electronic delivery to a brokerage account)Employee. After Except as provided in paragraph 10, after such issuance, recordation recordation, and delivery, the Employee will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Neither the Employee Participant nor any person claiming under or through the Employee Participant will have any of the rights or privileges of a stockholder of the Company in respect of any Shares Stock deliverable hereunder unless and until certificates representing such Shares Stock (which may be in book entry form) will have been issued, issued and recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee Participant (including PSU Agreement through electronic delivery to a brokerage account). After such issuance, recordation and delivery, the Employee Participant will have all the rights of a stockholder of the Company with respect to voting such Shares Stock and receipt of dividends and distributions on such SharesStock.

Neither the Employee Grantee nor any person claiming under or through the Employee will Grantee shall have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will shall have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee Grantee (including through electronic delivery to a brokerage account). After such issuance, recordation and delivery, the Employee will Grantee shall have all the rights of a stockholder of the Company with respect to voting such Shares shares and receipt of dividends and distributions on such Shares.

Except as provided in Section 1(f), after such issuance, recordation and delivery, Participant will have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.

Neither the Employee Outside Director nor any person claiming under or through the Employee will Outside Director shall have any of the rights or privileges of a stockholder of the Company in respect of any Shares deliverable hereunder unless and until certificates representing such Shares (which may be in book entry form) will shall have been issued, recorded on the records of the Company or its transfer agents or registrars, and delivered to the Employee (including through electronic delivery to a brokerage account)Outside Director or the Escrow Agent. After Except as provided in Section 8, after such issuance, recordation and delivery, the Employee will Outside Director shall have all the rights of a stockholder of the Company with respect to voting such Shares and receipt of dividends and distributions on such Shares.
