Common use of Rights of Affiliate Clause in Contracts

Rights of Affiliate. As of the effective date of this Participation Agreement and subject to all the terms of this Participation Agreement, including without limitation, this subsection (b) and subsection (c) below, Affiliates of Member shall have the right to exercise the rights and benefit from the licenses granted to Member hereunder, provided that such Affiliates acknowledge and agree to be bound by: (i) all terms and condi- tions set forth in Sections 5 through 22 of this Participation Agreement; and (ii) any policies and procedures applicable to Members and/or Affiliates of Member as may be determined by the Board of Directors from time to time. For purposes of the foregoing Sections of this Participation Agreement, all references to “Member” shall be deemed to also include such Affiliates of Member. The rights granted un- der this Section 8 shall terminate immediately upon: (i) the Affiliate’s material breach of any of its obligations under this Section 8 or (ii) termination or expira- tion of this Member Agreement pursuant to Section 9.

As of the effective date of this Participation Adopter Agreement and subject to all the terms of this Participation Adopter Agreement, including without limitation, this subsection (b) and subsection (c) below, Affiliates of Member Adopter shall have the right to exercise the rights and benefit from the licenses granted to Member Adopter hereunder, provided that such Affiliates acknowledge and agree to be bound by: (i) all terms and condi- tions conditions set forth in Sections 5 through 22 of this Participation Adopter Agreement; and (ii) any policies and procedures applicable to Members Adopters and/or Affiliates of Member Adopter as may be determined by the Board of Directors from time to time-to- time. For purposes of the foregoing Sections of this Participation Adopter Agreement, all references to “Member” "Adopter" shall be deemed to also include such Affiliates of MemberAdopter. The rights granted un- der under this Section 8 shall terminate immediately upon: (iiii) the Affiliate’s 's material breach of any of its obligations under this Section 8 8; or (iiiv) termination or expira- tion expiration of this Member Adopter Agreement pursuant to Section 9.
