Rights of Certificateholder. Notwithstanding anything to the contrary in the Basic Documents, without the prior written consent of the Certificateholder, neither the Owner Trustee, the Co-Owner Trustee nor the Trust Eligible Lender Trustee shall (i) remove the Administrator, (ii) initiate any claim, suit or proceeding under this Agreement or compromise any claim, suit or proceeding brought pursuant to this Agreement or (iii) authorize the merger, conversion or consolidation of the Trust with or into any statutory trust or other entity (other than in accordance with the Indenture).
