Common use of Rights of Certificateholder Clause in Contracts

Rights of Certificateholder. Notwithstanding anything to the contrary in the Related Documents, without the prior written consent of the Certificateholder, neither the Delaware Trustee, the Co-Owner Trustee nor the Co-Owner Eligible Lender Trustee shall (i) remove the Administrator, (ii) initiate any claim, suit or proceeding under this Agreement or compromise any claim, suit or proceeding brought pursuant to this Agreement or (iii) authorize the merger, conversion or consolidation of the Trust with or into any business trust or other entity (other than in accordance with the Indenture).
