Rights of Disbursement Agent. (a) The Disbursement Agent may execute any of its duties under this Agreement by or through agents or attorneys-in-fact and shall be entitled to rely on advice of counsel concerning all matters pertaining to such duties, and protected in respect of any action taken in good faith and in accordance with such advice.
