Common use of Rights of Holders to Receive Payment and to Convert Clause in Contracts

Rights of Holders to Receive Payment and to Convert. Notwithstanding any other provision of this Agreement, the right of any Holder of a Note to receive payment of the principal of, and interest on, the Note, on or after the respective due dates expressed in the Note and this Agreement, to convert such Note in accordance with Article 3 and to bring suit for the enforcement of any such payment on or after such respective dates or the right to convert, is absolute and unconditional, subject to applicable law, and shall not be impaired or affected without the consent of the Holder.
